Welcome to SinistroBeatz. These Terms & Conditions (“Terms”) govern your access to and use of the website sinistrobeatz.com (the “Site”) and any services, products, or content offered through it (collectively, the “Services”). By using the Site or purchasing / licensing beats, you agree to be bound by these Terms and our Privacy Policy.

If you do not agree with these Terms, you must not use the Site or purchase / license anything from us.

1. Definitions

  • “User,” “you,” “your” — refers to any person or entity who accesses the Site, uses it, or enters into agreements with us.

  • “We,” “us,” “our,” “SinistroBeatz” — refers to the operator of this Site and provider of the Services.

  • “Beat,” “Instrumental,” “Track” — any musical production, including audio files, stems, or compositions, offered via the Site.

  • “License” — the usage rights granted to you for a Beat, under the terms and limits defined at the time of purchase.

  • “Exclusive Rights” — a special license granting you sole ownership or use of the Beat under terms we agree.

  • “Content” — includes text, images, audio, video, software, code, data, and other materials on the Site.

 

2. Use of the Site; Eligibility

  1. Eligibility. You must be at least [18] years old (or the legal age of majority in your jurisdiction) and have legal capacity to enter into binding contracts.

  2. Accurate Information. You agree to provide true, accurate, and current information when registering, purchasing, or interacting with the Site.

  3. Account. If a user account is required, you are responsible for safeguarding your credentials, and for all activity under your account.

  4. Lawful Use. You agree not to use the Site for unlawful purposes or violate any applicable laws, rules, or regulations.

 

3. Purchases, Licensing & Delivery

  1. License Types & Terms. We offer a variety of license options (e.g. “Standard,” “Premium,” “Unlimited,” “Exclusive”). Each license has specific limitations regarding distribution, streams, usage, credits, attribution, etc., as described on the Site.

  2. Ownership vs. License. Unless you purchase an exclusive license (or otherwise agreed in writing), you are only acquiring limited rights to use the Beat. We (SinistroBeatz) retain full copyright and ownership of the Beat.

  3. Delivery. Upon successful payment, you will receive a digital download link or files (e.g. WAV, MP3, stems if included, license agreement).

  4. Refunds / Cancellations. Because the product is digital and immediately deliverable, we typically do not offer refunds once purchase is complete, unless required by applicable law or in the event of defective or non-delivered goods.

  5. Modifications & Updates. We may revise Beats, pricing, or license terms from time to time. However, changes will not retroactively alter license terms for Beats you’ve already purchased, except where legally required.

 

4. Use & Restrictions

  1. Permitted Use. You may use the Beat in your musical projects consistent with the license’s scope (e.g. number of streams, radio plays, videos, performance rights).

  2. Prohibited Use. You may not:

    • Redistribute, resell, sublicense, or share the Beat in its original form (unless allowed by the license).

    • Claim authorship or plagiarism of SinistroBeatz’s original production.

    • Use the Beat in illegal, defamatory, obscene, or infringing content.

    • Use the Beat in a way that violates third-party rights (e.g. sampling someone else’s parts without clearance).

  3. Credit / Attribution. If required by your license, you must credit SinistroBeatz in your work per the format specified (e.g. “Produced by SinistroBeatz”).

  4. Remixes / Derivative Works. You may create derivative works (e.g. remixes) within the license’s scope, provided you do not violate other restrictions (e.g. on sublicensing).

 

5. Intellectual Property

  • All content, trademarks, logos, beats, and software on the Site are the sole property of SinistroBeatz or its licensors.

  • Nothing in these Terms grants you any ownership rights in the Site or the Beats except as explicitly stated in your license.

  • If you believe any content on the Site violates your IP rights, you may contact us with a written notice, and we will respond per applicable law.

 

6. Payments & Fees

  1. Pricing. All prices are as stated on the Site at the time of purchase (in USD or equivalent).

  2. Taxes & Duties. You are responsible for any applicable taxes, value-added tax (VAT), duties, or other fees imposed by your jurisdiction.

  3. Payment Methods. We accept PayPal, credit cards, and cryptocurrencies (or as otherwise offered).

  4. Failed Payment. If payment fails, we may cancel the transaction or suspend delivery until payment is resolved.

 

7. Disclaimers & Liability

  1. No Warranty. The Site and Services are provided “as is” and “as available,” without warranties of any kind (express or implied).

  2. Limitation of Liability. To the fullest extent permitted by law, SinistroBeatz (and its officers, employees, licensors) will not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of your use of the Site or Services.

  3. Maximum Liability. Our total liability to you for direct damages is limited to the amount you paid us in the last [12 months / transaction].

  4. Force Majeure. We are not liable for delays or failures caused by events outside reasonable control (e.g. acts of God, internet downtime, strikes).

 

8. Termination

  • We may suspend or terminate your access to the Site or Services, or your license rights, if you violate these Terms or applicable laws.

  • Upon termination, your license to unexpired Beats may continue under their terms, but you must cease further use for any new projects unless a new license is acquired.

  • Sections that by their nature survive termination (e.g. disclaimers, intellectual property, liability, governing law) will continue to apply.

 

9. Indemnification

You agree to indemnify, defend, and hold harmless SinistroBeatz (and its officers, agents, licensors) from any claims, losses, damages, liabilities, suits, or costs (including legal fees) arising from:

  • your violation of these Terms;

  • your use or misuse of the Beats or the Site;

  • your violation of third-party rights or applicable law.

 

10. Governing Law & Dispute Resolution

  • Governing Law. These Terms are governed by and construed under the laws of [Switzerland / or your location / or mutually agreed jurisdiction], without regard to conflict of law rules.

  • Jurisdiction. You and we agree to submit to the exclusive or non-exclusive courts of [City, Canton / Region] for resolution of disputes, unless otherwise required by law.

  • Alternative Dispute Resolution. If permitted or required, disputes may be resolved through mediation or arbitration before going to court.

 

11. Changes to Terms

We reserve the right to modify these Terms at any time. If we do, we will post the updated version on the Site and update the “Last Updated” date. Your continued use of the Site / Services after changes constitutes acceptance of the new Terms.

 

12. Miscellaneous

  • Severability. If any provision is found invalid or unenforceable, that portion will be enforced to the maximum extent allowed, and the rest will remain in effect.

  • Entire Agreement. These Terms (together with our Privacy Policy, Cookie Policy, and any license agreement) constitute the entire agreement between you and SinistroBeatz.

  • Assignment. You may not assign or transfer your rights or obligations under these Terms without our prior written consent.

  • Waiver. Our failure to enforce any right or provision does not constitute a waiver of that right.
